A process for producing a graft copolymer characterized by melt-blending 100 parts by weight of a resin mixture comprising 90 to 10% by weight of a polyphenylene oxide having a structurel unit of
(wherein R1, R2, R3 and R4 each represents hydrogen, a halogen atom, a hydrocarbon or substituted hydrocarbon radical) and 10 to 90% by weight of a styrene polymer and/ or a copolymer of a styrene and other monomers in the presence of 0.01 to 5 parts by weight of a sulfurcontaining grafting agent selected from the group consisting of sulfur, sulfur halogenides, sulfides, thiols and thiophenols.
